CHANGE IN REGISTERED OFFICE OF THE COMPANY
A Registered office or the company shall, on and from the fifteenth day of its incorporation and at all times thereafter, have a registered office capable of receiving and acknowledging all communications and notices as may be addressed to it.
The company shall furnish to the Registrar verification of its registered office within a period of thirty days of its incorporation in such manner as may be prescribed.
Notice of every change of the situation of the registered office, verified in the manner prescribed, after the date of incorporation of the company, shall be given to the Registrar within fifteen days of the change, who shall record the same.
Types of Shifting Registered office:
1) Shifting the Registered office within the same city, town or village
Procedure to be Followed:
- Board Resolution passed by a company
- Company file the Form INC -22 within 30 days of Board resolution.
- Rent agreement, Utility bill, NOC from owner, for address proof
2) Shifting the Registered office from One city, town or village to another city, town or village within same state
Procedure to be Followed:
- Board Resolution passed by a company
- Special Resolution passed by a company
- Company file the Form MGT-14 within 30 days of Special resolution
- Company file the Form INC -22 within 30 days of Special resolution
- Rent agreement, Utility bill, NOC from owner, for address proof
3) Shifting the Registered office from One ROC to other ROC within same state
Procedure to be Followed:
- Board Resolution passed by a company
- Special Resolution passed by a company
- Approval of Regional director
- Company file the Form MGT-14 within 30 days of Special resolution
- Company file the Form INC-23 for approval of RD to shift the registered office from one ROC to another ROC within the same state
- one month notice to creditor and publication of newspaper advertisement
- Company file the Form INC-28 within 60 days from the date of order of Regional Director
- Company file the Form INC -22 within 30 days from the date of order of Regional Director
- Rent agreement, Utility bill, NOC from owner, for address proof
4) Shifting the Registered office from One State to another state
Procedure to be Followed:
- Board Resolution passed by a company
- Special Resolution passed by a company
- Approval of Regional director
- Company file the Form MGT-14 within 30 days of Special resolution
- Company file the Form INC-23 for approval of RD to shift the registered office from one state to another state
- one month notice to creditor and publication of newspaper advertisement
- Company file the Form INC-28 within 30 days from the date of receipt of order of Regional Director
- Company file the Form INC -22 within 30 days from the date of order of Regional Director
- The Alteration of MOA is Required.
- Rent agreement, Utility bill, NOC from owner, for address proof.
